Agreement to Terms

These Terms of Service ("Terms") govern your use of the services provided by Menporul Consultancy Services ("MCS", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.

Client Responsibilities

Information & Cooperation

  • Provide accurate and complete information

  • Designate authorized representatives

Payment & Compliance

  • Make payments according to agreed terms
  • Comply with applicable laws and regulations
  • Maintain confidentiality of sensitive information
  • Use services for lawful purposes only

Payment Terms

Fees and Billing

  • Service fees are outlined in individual project agreements
  • Payment terms are typically 30 days from invoice date
  • Late payments may incur additional charges
  • All fees are exclusive of applicable taxes

Refund Policy

Refunds are considered on a case-by-case basis. Work completed and delivered in good faith is generally non-refundable. Refund requests must be made in writing within 30 days of service completion.

Intellectual Property

Work Product

Upon full payment, clients receive ownership of custom work products created specifically for their project. This includes:

  • Custom designs, logos, and branding materials
  • Bespoke software and applications
  • Project-specific documentation and reports
  • Custom business processes and frameworks

MCS Retained Rights

MCS retains ownership of general methodologies, frameworks, tools, and know-how developed prior to or independently of client projects. We also retain the right to use general knowledge and experience gained during projects for future work.

Confidentiality

We understand the sensitive nature of business information and are committed to maintaining strict confidentiality. Both parties agree to:

  • Protect confidential information from disclosure
  • Use information only for authorized purposes
  • Return or destroy confidential materials upon request
  • Limit access to authorized personnel only
  • Maintain confidentiality beyond project completion
  • Sign additional NDAs when required

Limitation of Liability

Important: Our liability is limited to the fees paid for the specific service that gave rise to the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from third-party actions
  • Issues arising from client-provided information or materials

Termination

By Client

Clients may terminate services with written notice. Payment is due for all work completed up to the termination date.

By MCS

We may terminate services for non-payment, breach of terms, or if continuation would be impractical or inadvisable.

Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts in Tamil Nadu, India.
